Mr. Cazalot, president and chief executive officer and a director of Marathon Oil Corporation, has been nominated for the position being vacated by Mr. Joseph T. Casey, retired vice chairman and chief financial officer of Western Atlas Inc. Mr. Lash, chairman of Manchester Principal LLC, has been elected to the position being vacated by Mr. Victor G. Beghini, retired vice chairman, Marathon Group, USX Corporation and retired president, Marathon Oil Company. Messrs. Casey and Beghini and Ms. Eunice M. Filter, retired vice president and secretary of Xerox Corporation, announced their intent to resign from the Board effective at the April 24, 2002 Annual Meeting of Stockholders.
Biographical InformationMr. Clarence P. Cazalot, Jr., 51, is president and chief executive officer and a director of Marathon Oil Corporation, formerly known as USX Corporation, a diversified petroleum company. Mr. Cazalot served as vice chairman of USX Corporation and president of Marathon Oil Company from 2000 to 2001. Prior to joining Marathon, he was with Texaco Inc. from 1972 to 2000, and served in various executive positions, the most recent being president of worldwide production operations. Mr. Cazalot also serves as a director and executive committee member of both the U.S. Saudi Arabian Business Council and the American Petroleum Institute. Mr. Cazalot is a member of the Board of Directors of the Greater Houston Partnership, the Sam Houston Area Council, Boy Scouts of America and the National Association of Manufacturers. He is on the Board of Trustees of Spindletop Charities Inc. and the Board of Advisors for the Maguire Energy Institute.
Mr. James A. Lash, 57, has served as chairman of Manchester Principal LLC and its predecessor company since 1982, a high technology venture capital firm. He also served as chairman and chief executive officer of Reading Tube Corporation from 1982 to 1996. Mr. Lash is a director of B.H.I.T. Inc., Vesper Corporation, Unicast Communications and Webridge Inc. He is also a director of City Center 55th Street Foundation Inc. and Ivy Animal Health Inc. Mr. Lash is a member of the Corporation of Massachusetts Institute of Technology (MIT) and incoming president of the Alumni Association of MIT. He is also chairman of the budget committee of the Board of Estimate and Taxation of Greenwich, Conn.
